Terms of Service

Please read these Terms of Service carefully before using our services. By engaging Aliende for AI automation, chatbot development, or consulting services, you agree to be bound by these terms.

1. Scope of Work & Deliverables

Aliende provides custom AI infrastructure, automation flows, and consulting. The specific scope, timeline, and deliverables for each project will be outlined in a separate Statement of Work (SOW). Any changes to the scope will require written approval and may result in additional fees.

1.1 Acceptance: Deliverables are deemed accepted unless written notice of defect is provided within 7 days of delivery. We do not offer refunds for completed milestones or accepted deliverables.

2. Liability & Performance Guarantees

While our AI solutions are designed to optimize and scale your operations, Aliende cannot guarantee specific financial results, conversion rates, or flawless AI outputs. AI models are inherently probabilistic.

2.1 Limitation of Liability: Under no circumstances shall Aliende be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of our services or AI deliverables (including, but not limited to, loss of revenue, data, or business opportunities).

2.2 Third-Party APIs: Our solutions often rely on third-party services (e.g., OpenAI, Anthropic, Twilio). We are not responsible for downtime, rate limits, API changes, or billing issues originating from these third-party providers.

3. Intellectual Property

Upon full and final payment, you receive a non-exclusive license to use the developed software and automation flows for your internal business operations. Aliende retains the rights to the underlying proprietary code, frameworks, and methodologies used to build the solution.

4. Payment Terms

Invoices are due upon receipt unless otherwise specified in the SOW. Aliende reserves the right to suspend services and disable access to hosted AI agents if payments are delayed by more than 14 days. All deposits are non-refundable.

5. Force Majeure & Exceptional Circumstances

Aliende shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, internet outages, global pandemics, or governmental actions.

*note: due to the ongoing war and related infrastructural challenges (such as power outages or internet disruptions), there may be unexpected delays in communication or project delivery. we appreciate your understanding.

6. Termination

Either party may terminate the agreement with a 30-day written notice. Upon termination, you are responsible for paying for all work completed up to the termination date. Aliende reserves the right to terminate the agreement immediately in the event of a material breach by the client.
